Melissa Rand concentrates her practice in corporate transactions, including mergers and acquisitions, corporate entity formation, fund formation and general commercial matters. Ms. Rand counsels companies from start-up through acquisition and has experience negotiating and documenting a variety of agreements and deal structures, including licensing, consulting and joint venture agreements. In addition, Ms. Rand provides services around entity formation and private financing transactions, most recently with respect to entities looking to raise capital for use in the medical marijuana industry. She regularly counsels clients on general business matters and day-to-day operations.
Ms. Rand began her legal career with Saul Ewing, LLP, a prominent Philadelphia law firm. Her practice area spanned general corporate matters, litigation and bankruptcy and financial restructuring for both public and private companies and institutions. She has extensive experience negotiating, reviewing and drafting asset purchase agreements and loan documents, reviewing asset purchase agreements and loan documents, conducting lien perfection analysis and analyzing secured transactions under Article 9 of the Uniform Commercial Code.
Prior to becoming a lawyer, Melissa worked on Wall Street as a capital markets associate, specializing in interest rate derivatives. Her clients included Fannie Mae, Freddie Mac, numerous Federal Home Loan Banks and regional dealers. With an extensive background in both financial and legal matters, Melissa’s expertise is an invaluable resource for the firm’s clients.
